Terms of Service

1. Who We Are

Kopplio is operated by Chris Jayden, an Eenmanszaak (sole proprietorship) registered in the Netherlands. References to "Kopplio", "we", "us", or "our" in these Terms refer to Chris Jayden trading as Kopplio.

2. Acceptance of Terms

By creating an account or using the Kopplio service (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, you must not use the Service. You must be at least 18 years old to use Kopplio.

3. Description of Service

Kopplio is a financial sync automation service that connects your Stripe account to your Moneybird accounting administration. The Service reads your Stripe payment events via OAuth and automatically creates the corresponding records in Moneybird, including:

  • Sales invoices with the correct VAT (BTW) mapping for each transaction scenario (NL standard, EU B2B reverse charge, EU B2C OSS, non-EU export).
  • Purchase invoices for Stripe transaction fees.
  • Payout reconciliation: splitting each Stripe payout into its component transactions and fees as journal entries.
  • Credit notes for Stripe refunds.
  • Multi-currency support with exchange rates on the transaction date.

Using the Service requires valid and active Stripe and Moneybird accounts, and you must grant Kopplio OAuth authorisation for both. The Service is provided "as is" and subject to change. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

4. Plans & Billing

Kopplio is available on the following paid subscription plans:

  • Starter: €7 per month
  • Pro: €15 per month
  • Business: €79 per month

All new accounts begin with a 14-day free trial. No charge during the trial. You can cancel anytime. After the 14-day trial period, your subscription continues at the regular monthly rate for your selected plan.

Subscriptions are billed monthly through Stripe. By subscribing you authorise us to charge your payment method on a recurring basis until you cancel. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.

Plan prices are displayed in euros (EUR) and are inclusive of any applicable VAT where required by Dutch or EU law. We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

5. Refund Policy

New subscriptions begin with a 14-day free trial, giving you the opportunity to evaluate the Service before being charged at the full monthly rate. Because Kopplio operates on a monthly cancel-anytime basis, we do not offer automatic refunds after the trial period ends.

Refund requests after the trial period are evaluated on a case-by-case basis. If you believe you have been charged in error, contact us at support@kopplio.com and we will investigate promptly.

EU/EEA consumers retain any statutory rights under Dutch consumer law (Burgerlijk Wetboek) and the EU Consumer Rights Directive that may apply in addition to this policy.

6. Your Account

You are responsible for maintaining the security of your account credentials. You must promptly notify us of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your credentials.

You may only create one account per person. Creating multiple accounts to circumvent plan limits or billing is prohibited and may result in termination of all associated accounts.

7. Acceptable Use

You agree to use the Service only for its intended purpose: automating the sync of your own Stripe financial data into your own Moneybird administration. You must:

  • Have authorisation for the Stripe and Moneybird accounts you connect. You may not connect accounts belonging to others without their explicit authorisation.
  • Provide accurate VAT configuration. You are responsible for ensuring your Kopplio settings (e.g. your VAT registration status, applicable tax rates) are correct and kept up to date.
  • Not abuse the Service's API or automation by sending excessive requests, triggering artificial webhook events, or otherwise placing unreasonable load on our systems.
  • Not use the Service for scraping or bulk data extraction beyond normal sync operation.

We reserve the right to suspend or terminate any account that violates these rules, without prior notice where necessary to protect the Service or other users.

8. Third-Party Services

Kopplio depends on the Stripe and Moneybird APIs to function. Service interruptions, changes, or outages at those providers may directly affect the availability or behaviour of Kopplio. We are not responsible for disruptions caused by Stripe or Moneybird.

You are responsible for maintaining valid OAuth connections between Kopplio and your Stripe and Moneybird accounts. If an OAuth token is revoked or expires, sync will cease until you reconnect the relevant account.

9. Financial Data & Accuracy Disclaimer

Kopplio automates the mechanical process of transferring financial data from Stripe to Moneybird and applying VAT (BTW) mapping rules based on your configuration. However:

  • Kopplio is not a licensed accountant and the Service does not constitute tax advice, accounting advice, or any other professional financial advice.
  • You remain responsible for verifying that your VAT configuration in Kopplio is correct. We strongly recommend consulting a qualified Dutch accountant (boekhouder) or tax adviser before relying on Kopplio for your bookkeeping.
  • You remain responsible for your own tax filings, VAT returns (BTW-aangifte), and the accuracy of your Moneybird administration.
  • Kopplio is not liable for tax penalties, assessments, or accounting errors arising from incorrect VAT configuration provided by you, or from incorrect data in your Stripe account.

10. Prohibited Conduct

In addition to the Acceptable Use restrictions above, you must not:

  • Attempt to gain unauthorised access to our systems, infrastructure, or other users' accounts.
  • Reverse-engineer, decompile, or disassemble any part of the Kopplio platform or API, except as permitted by applicable law.
  • Deliberately introduce load that disrupts the Service for other users (e.g. denial-of-service attacks).
  • Impersonate Kopplio or Chris Jayden in communications with third parties.
  • Resell or sub-license access to the Service without our written permission.

11. Intellectual Property

The Kopplio platform, including its code, design, trademarks, and documentation, is owned by Chris Jayden. These Terms do not transfer any intellectual property rights to you.

Your Stripe and Moneybird data accessed through the Service remains yours. Kopplio claims no ownership over the financial data processed on your behalf.

12. Service Availability

We aim to provide a reliable service but do not guarantee uninterrupted availability. We may perform scheduled or emergency maintenance, which may temporarily affect service access. We will endeavour to provide advance notice of scheduled maintenance.

Kopplio is not liable for any losses caused by downtime, data loss, or service interruption beyond what is required by applicable law. In particular, we are not liable for sync failures caused by Stripe or Moneybird outages or API changes.

13. Limitation of Liability

To the fullest extent permitted by Dutch law, Kopplio's total liability for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the event giving rise to the claim, or €100, whichever is greater.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost revenue, lost profits, or loss of data. We are not liable for accounting errors, incorrect VAT treatment, or tax assessments arising from incorrect VAT configuration provided by you.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under Dutch law.

14. Indemnification

You agree to indemnify and hold harmless Chris Jayden (trading as Kopplio) from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, incorrect VAT or account configuration you have provided, or any claim by a third party (including tax authorities) arising from your Moneybird administration.

15. Termination

You may cancel your account at any time through your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then.

We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. In cases of termination for cause, no refund will be issued.

On account termination, we will delete your sync data and OAuth tokens as described in our Privacy Policy. Billing records are retained as required by Dutch tax law.

16. Governing Law & Disputes

These Terms are governed by the laws of the Netherlands. Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved by contacting us at support@kopplio.com.

If a dispute cannot be resolved amicably within 60 days, it shall be submitted to the exclusive jurisdiction of the competent court in Overijssel, the Netherlands.

If you are a consumer in the EU, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

17. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email and update the "Last updated" date at the top of this page at least 14 days before changes take effect. Continued use of the Service after that date constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your account.
